Cook Inlet Region, Inc is seeking a talented Senior Associate General Counsel to join our Legal team. This position is based in Anchorage, AK but offers a fully remote schedule for candidates who live outside of Alaska. Remote employees may be required to travel to the corporate office on a regular schedule. For candidates who are based in Anchorage, AK, CIRI offers a hybrid work schedule. Anchorage, AK is the preferred location for this position.

General Function

The Senior Associate General Counsel will play a critical role in supporting the company's legal and business objectives by providing expert advice on a wide range of corporate matters, with a strong emphasis on corporate governance and compliance. This position requires a proactive, solution-oriented professional with excellent analytical skills and business acumen to navigate complex legal issues and mitigate risk.

Major Activities (Typical Duties/Responsibilities)

1. Ensure that business is conducted in accordance with applicable laws, regulations and company policies and procedures to minimize liability exposure.
2. Responsible for day-to-day legal matters including but not limited to government contracting, cyber, technology, manufacturing, corporate governance, and settlement trust.
3. Manage litigation and alternative dispute resolution arising from claims on behalf of, and asserted against, CIRI and its subsidiaries.
4. Provide legal support for a variety of corporate transactions, including mergers and acquisitions (M&A), financing arrangements, and strategic partnerships, including conducting due diligence.
5. Manage special projects as assigned by Chief Legal Officer; participate with CIRI leadership on corporate initiatives and programs; prepare and present reports to CIRI's leadership, Board of Directors and Board Committees, as appropriate.
6. Draft, review, and support negotiation of a broad range of commercial contracts and legal documents, such as non-disclosure, customer, vendor, and licensing agreements.
7. Monitor, research, and advise on new and existing laws and regulations impacting the company.
8. Assist in the management and protection of the company's IP portfolio, including trademarks and patents, and CIRI's proprietary software product.
9. Perform other duties as appropriate and as assigned.

Knowledge/Skills/Abilities

• Understand CIRI's mission, values and strategic focus areas and incorporate knowledge into daily activities.
• Advanced knowledge of Federal Procurement Regulations, Defense FAR Supplement, and other government Agency procurement supplements.
• Working knowledge of the Small Business Act and implementing regulations.
• Strong business acumen and an ability to provide practical, strategic legal advice.
• Communicate clearly in writing and orally, with an emphasis on the presentation of material in a meaningful manner to the ultimate decision maker.
• Excellent interpersonal skills; ability to work effectively and cooperatively with all levels of management and staff, affiliated-company employees as well as outside business associates; exhibit a professional manner in dealing with others.
• Conceptualize, analyze and apply knowledge of legal principles.
• Research and organize technical information with attention to accuracy and detail.
• Demonstrate familiarity with the Alaska Native Claims Settlement Act and its provisions relating to the rights and responsibilities of Native corporations and their shareholders, and other relevant state and federal laws affecting Alaskan Natives and Native Americans.
• Plan, organize, motivate and direct others in a team environment in the achievement of the company's goals and objectives.
• Build effective and cooperative relationships at all levels within the company.
• Manage multiple projects across a wide spectrum of subject areas with superior organizational, follow-up, and detail-oriented skills.
• Work independently, as well as on a team and with minimal supervision.
• Make decisions, solve problems and exercise excellent judgment.

• Proficient using Microsoft Office products, such as Word, Excel and PowerPoint, and industry-standard computer software and databases.

Physical Abilities

• Sufficient fine motor skills for use of computers, calculators with an ability to withstand repetitive keyboarding for extended periods of time
• Visual and communication abilities adequate to perform the essential functions of the job
• Ability to kneel, bend and twist at the waist on an occasional basis
• Ability to reach below shoulder height with regular frequency (desk position) and at or above shoulder height on occasion
• Ability to push, pull, carry and lift objects weighing up to 20 pounds on a regular basis, and greater weights on an occasional basis

Minimum Qualifications

• J.D. degree from an ABA accredited law school
• Current State Bar License
• Ten years of progressively responsible experience as a practicing attorney in a sophisticated corporate environment, large law firm or government agency including at least five years' experience in government contracting working with the Federal Procurement Regulations, Defense FAR Supplement, and other government Agency procurement supplements.
• Knowledge of ANSCA preferred
• Two years' supervisory experience required
• Ability to travel 30% of the time
• Ability to pass a background screening
• Ability to obtain a government issued Top Secret security clearance
